Software in the Products and Services

The Product(s) and Service(s) are cloud technology software. This software may update automatically once a new version or feature becomes available. You agree that the Terms of Use of this Agreement will apply to all such upgrades.

You agree that the Company grants you a personal, royalty-free, non-assignable, and non-exclusive license to use the Products and Services. This license is for the sole purpose of enabling you to use and enjoy the benefits of the Products and Services as provided by the Company, in the manner permitted by these terms.

You may not: (i) modify, disassemble, decompile, or reverse engineer the Mobile Software, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the Mobile Software to any third party, or use the Mobile Software to provide time-sharing or similar services for any third party; (iii) make any copies of the Mobile Software; (iv) remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Mobile Software, features that prevent or restrict use or copying of any content accessible through the Mobile Software, or features that enforce limitations on use of the Mobile Software; or (v) delete the copyright and other proprietary rights notices on the Mobile Software.

Rights You Grant to Us

As the owner of any information, data, passwords, usernames, PINs, other login credentials, materials, or other content (collectively, "Accounts Content") that you provide to DNAG Technologies ("the Company") through the use of the Website or any of the Company's Products and Services, you acknowledge and agree that you are licensing such Accounts Content to the Company solely for the purpose of facilitating your use of the Products and Services. The Company will use such Accounts Content exclusively to enable the intended functionality and performance of its offerings.

By submitting Accounts Content, you confirm that you have the legal right and authority to share such content with the Company, and that no additional fees or restrictions apply to the Company's use of it for the specified purpose. You explicitly authorize DNAG Technologies to access and use the information you provide (including, but not limited to, login credentials) to integrate and configure the Products and Services with any third-party websites for which you submit credentials or data.

For the purposes outlined in this Agreement and solely to enable the provision of the Products and Services, you grant DNAG Technologies a limited power of attorney and appoint the Company as your attorney-in-fact and authorized agent. This includes accessing third-party websites on your behalf, retrieving your data, and using it as necessary to provide the Services to you—with the same authority and access you would have if performing the action yourself. YOU ACKNOWLEDGE AND AGREE THAT WHEN DNAG TECHNOLOGIES IS ACCESSING OR RETRIEVING ACCOUNT INFORMATION FROM THIRD-PARTY WEBSITES, IT IS ACTING SOLELY AS YOUR AGENT, AND NOT AS THE AGENT OF OR ON BEHALF OF THE THIRD PARTY.

You also consent to DNAG Technologies' use of your content and data—including screenshots, account content, and any materials submitted to or generated through our Products and Services—for operational, communication, or platform functionality purposes. This includes use across media, tools, and third-party platforms to facilitate product delivery, feature testing, service optimization, and support.

By submitting or storing such content through our services, you grant DNAG Technologies and its affiliates a limited, royalty-free, worldwide license to host, cache, route, transmit, store, copy, modify, reformat, excerpt, index, distribute, promote, and otherwise use such content solely to operate, improve, and promote the Products and Services in accordance with this Agreement.

THIS LICENSE IS GRANTED BY YOU AND DOES NOT AFFECT OR DIMINISH THE RIGHTS OF ANY THIRD PARTY.

Access and Interference

YOU AGREE THAT YOU WILL NOT:

a.) Use any robot, spider, scraper, deep-link, or any similar automated data-gathering or extraction tool, program, algorithm, or methodology to access, acquire, copy, or monitor the website or any part of the Products and Services, without the express written consent of the Company. Such consent may be withheld at the sole discretion of the Company;

b.) Use or attempt to use any engine, software, tool, agent, or other device or mechanism (including but not limited to browsers, spiders, robots, avatars, or intelligent agents) to navigate or search the Company's website, except for search engines and search agents made available through the website and commonly available third-party web browsers (e.g., Microsoft Edge, Google Chrome);

c.) Post or transmit any file that contains viruses, worms, Trojan horses, or any other contaminating or destructive elements, or otherwise interfere with the proper functioning of the website or the Products and Services;

d.) Attempt to decipher, decompile, disassemble, or reverse-engineer any part of the software comprising or supporting the website or the Products and Services;

e.) Use or initiate any automated system, including but not limited to "robots," "spiders," or "offline readers," that accesses the website or Products and Services in a manner that sends more requests to the servers within a given time period than a human can reasonably produce using a standard online web browser during the same period.

Intellectual Property Rights

For the purposes of this Agreement, "Intellectual Property Rights" shall include all forms of intellectual property protection, whether existing now or arising in the future. This includes, but is not limited to, patent rights, copyrights, mask work rights, moral rights, publicity rights, trademark rights, trade dress, service marks, goodwill, trade secret rights, and any other proprietary rights recognized under applicable law. It also includes all applications, registrations, renewals, and extensions of such rights, in accordance with the laws of any state, country, territory, or other jurisdiction.

Our Proprietary Rights

Except for your own User Content, the Website, its Products and Services, and all materials contained therein or transmitted thereby—including but not limited to software, images, maps, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content uploaded by other users (collectively referred to as the "Application Content")—together with all associated Intellectual Property Rights, are and shall remain the exclusive property of DNAG Technologies or its licensors, including third-party users who may contribute content to the platform.

Certain Products or Services may be made available by DNAG Technologies in collaboration with third-party providers. In such instances, any infringement of the Intellectual Property Rights of these third parties by you may entitle them to pursue legal remedies, including the right to claim damages.

Unless expressly stated in this Agreement, no rights or licenses are granted to you with respect to any Application Content or Intellectual Property, whether by implication, estoppel, or otherwise. You expressly agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display or perform, publish, adapt, edit, or create derivative works from any Application Content, unless you have obtained prior written consent from DNAG Technologies or the rightful content owner.

Any use of the Application Content not specifically authorized under this Agreement is strictly prohibited and may result in legal action.

Alert Disclaimer

You acknowledge and agree that any alerts or notifications delivered to you through the Website, Products, or Services may be subject to delays, delivery failures, or inaccuracies due to a variety of factors beyond the control of DNAG Technologies.

While the Company strives to provide alerts in a timely and accurate manner, it does not guarantee the delivery, timeliness, or accuracy of any such alerts. You expressly agree that DNAG Technologies shall not be held liable for:

Furthermore, any dealings you undertake with advertisers found on or through the Products and Services—including payments, delivery of goods, and warranty terms—are strictly between you and the relevant third party. DNAG Technologies assumes no responsibility or liability for any loss, damage, or dispute arising from such interactions.

Indemnity

You agree to defend, indemnify, and hold harmless DNAG Technologies, including its parent entities, subsidiaries, affiliates, officers, directors, employees, agents, licensors, contractors, and service providers, from and against any and all claims, liabilities, losses, damages, obligations, costs, and expenses (including, without limitation, reasonable attorneys' fees) arising out of or related to:

Disclaimer of Representations and Warranties

DNAG Technologies expressly disclaims all representations, warranties, and guarantees, including but not limited to:

a. Any warranties of merchantability, non-infringement, or fitness for a particular purpose;

b. Any assurances that the Website, its content, or the Products and Services will be uninterrupted, error-free, secure, or free from harmful components, including viruses, malware, or other technologically harmful material;

c. Any warranties that data, personal information, or communications transmitted through or stored on the Website or Services will be secure, private, or protected from unauthorized access.

By using the Website and Services, you acknowledge and agree that you do so entirely at your own risk. No oral or written information or advice given by DNAG Technologies, its representatives, or affiliates shall create any warranty unless explicitly stated in writing.

Limitation of Liability

b. Any interruption, suspension, or termination of the Website or Services.

In all circumstances, DNAG Technologies will not be liable for any damages that are not reasonably foreseeable at the time of your use of the Products and Services.

Interpretation

DNAG Technologies reserves the sole and exclusive right to interpret, clarify, and enforce these Terms of Use and the Privacy Policy, including any future modifications or updates. Any ambiguity in the interpretation of these terms shall be resolved at the Company's discretion.

Arbitration

All disputes arising out of or in connection with these Terms of Use, Privacy Policy, or any other policies of DNAG Technologies shall be resolved through arbitration by a sole arbitrator appointed by the Company, in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended from time to time). The seat and venue of arbitration shall be __________, India, and the proceedings shall be conducted in English. The arbitral award shall be final and binding on all parties.

Governing Law and Jurisdiction

These Terms of Use, Privacy Policy, and any other policies or agreements referred to herein shall be governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause above, the courts of __________, India shall have exclusive jurisdiction over any disputes, claims, or legal proceedings arising out of or in connection with the same.

Legal

The Company reserves the right, at its sole discretion, to investigate and take appropriate legal action against any individual or entity found to be engaging in illegal activities, violating these Terms of Use, or participating in any prohibited conduct. Such action may include, but is not limited to, removal of User Content, suspension or termination of access to the website or services, and reporting to appropriate law enforcement authorities.

No-Objection

By using the Services or submitting any form on the website, the User expressly agrees and provides consent to receive calls, SMS, emails, or other communications from the Company, its authorized third parties, or any service providers acting on its behalf, in relation to the Company's Services.

This consent shall apply regardless of the User's registration status with the National Do Not Call Registry (NDNC) or under any partially or fully blocked category of the National Customer Preference Register maintained under the guidelines of the Telecom Regulatory Authority of India (TRAI) or any similar authority in other jurisdictions.

The User affirms that such communications shall not be considered as Unsolicited Commercial Communication and acknowledges having willingly opted to receive them on the telephone number and contact details shared with the Company.

Furthermore, by submitting the webform on the website, the User agrees to receive promotional and service-related calls and messages, including those routed through third-party platforms authorized by the Company.

Defaming / Threat

The User shall not, in any manner or capacity, threaten or attempt to threaten the Company or any of its employees, agents, or representatives by initiating or attempting to initiate any civil or criminal proceedings before any forum, court, or tribunal with the intent to obtain monetary benefits or any other undue advantage.

If any such act is found to have been committed by a User, the Company shall have the full right and liberty to initiate appropriate legal proceedings—civil and/or criminal; against the concerned User, as per applicable law.
